In a landmark regulatory shift aimed at reducing protracted legal battles and modernizing enforcement across Indian financial markets, the Securities and Exchange Board of India (SEBI) has notified far-reaching amendments to the SEBI (Settlement Proceedings) Regulations. The updated framework introduces an objective, transparent mathematical formula for computing settlement charges, eliminates the contentious practice of double counting alleged wrongful gains, and introduces a fast-track settlement mechanism for smaller-ticket violations. Approved by the SEBI Board, these changes are designed to declog administrative pipelines, provide predictability for market intermediaries, and improve ease of doing business without diluting enforcement rigor.
Revised Calculation Formula: Eliminating Double Counting
Under the previous settlement architecture, wrongful gains, investor losses, and statutory penalties often overlapped inside the calculation base, leading to compounding liabilities for applicants. The revised regulations separate the resolution into three clear, distinct components:
-
Settlement Amount: Calculated using a transparent formula where the base amount is anchored to the minimum statutory penalty for the violation and scaled by objective multipliers (stage of proceedings, regulatory track record, and gravity).
-
Disgorgement: Any quantified illicit gains or investor losses are extracted separately rather than rolled into the base penalty formula, permanently removing the risk of double counting.
-
Remedial and Regulatory Terms (RRT): Formerly termed non-monetary conditions, these encompass mandatory compliance enhancements, governance overhauls, or restitution measures imposed to prevent future lapses.
Twin Fast-Track Resolution Pathways
To facilitate speedy dispute exits and free up regulatory resources, SEBI has rolled out two fast-track settlement channels:
-
The ₹10 Lakh Threshold Route: For eligible summary and non-serious matters where the computed settlement amount does not exceed ₹10 lakh, cases can bypass standard multistage committees. These applications proceed directly from the internal committee to a panel of whole-time members (WTMs) for rapid clearance.
-
Violation-Based Notice Route: Applicable to specific disclosure and technical delays. SEBI will issue a direct notice specifying the predetermined settlement sum, allowing applicants to pay and settle without undergoing prolonged back-and-forth scrutiny.
Strategic Relief for Corporate Disclosures and Financial Restatements
The revised guidelines also introduce pragmatic provisions for listed firms dealing with financial misstatements or alleged diversion of funds. Entities can now apply for settlement provided the diverted funds are demonstrably recovered, corrective accounting adjustments are completed, and comprehensive disclosures are made to stock exchanges. Setting a baseline floor—₹3 lakh for first-time individual applicants and ₹7 lakh for repeat entities—SEBI’s updated rules create a balanced enforcement environment that penalizes systemic fraud while offering a swift, predictable off-ramp for operational and technical lapses.
